By creating an account, accessing, or using the DocuDomain service (the "Service"), you agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
You must be at least 18 years old and capable of entering into a binding contract to use the Service. The first person to register on behalf of an organization becomes its owner and is responsible for managing roles and permissions within that organization.
You agree to provide accurate, current, and complete information during registration, to keep your account credentials confidential, and to notify us immediately of any unauthorized access to your account.
By using the Service to sign or to request signatures, you consent to conduct transactions and sign documents electronically in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (the "ESIGN Act"), 15 U.S.C. §§ 7001 et seq., and the Uniform Electronic Transactions Act ("UETA") as adopted in your state.
You acknowledge that an electronic signature applied through the Service has the same legal effect as a handwritten signature, that you intend to be bound by such signature, and that you may withdraw consent to electronic records at any time by contacting support, with the understanding that doing so may prevent further use of the Service.
Use of the Service is paid through pre-purchased tokens. Each token pack is a one-time purchase; there is no recurring subscription. Token costs per document are displayed in your dashboard before each send, and your token balance is debited only when a document is successfully sent.
Unused tokens do not expire. Pricing is displayed in U.S. dollars and may change for future purchases; previously purchased tokens are not affected by subsequent price changes.
Refunds for token purchases may be requested by contacting support within thirty (30) days of purchase. Refunds will reduce your token balance by the corresponding token quantity. We reserve the right to deny refund requests that we determine in good faith to be fraudulent or abusive.

Completed documents are retained in your account indefinitely unless you delete them. Sent-but-not-completed documents expire thirty (30) days after the send date if not signed by all required signers. Every signed document includes an automatically generated Certificate of Completion documenting signing events, IP addresses, user-agents, and timestamps; this Certificate is part of the legally binding signed document.
The Service, including all software, designs, text, graphics, and other content (excluding documents and content you upload), is owned by DocuDomain and protected by intellectual property laws. You retain ownership of all documents and content you upload to the Service. By uploading content, you grant DocuDomain a limited license to process, transmit, store, and display that content solely as necessary to operate the Service for you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DOCUDOMAIN DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOCUDOMAIN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. DOCUDOMAIN'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID DOCUDOMAIN IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless DocuDomain and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service in violation of these Terms, (b) any documents or content you upload, (c) your violation of any applicable law, or (d) your violation of any third-party right.
We may modify or discontinue any part of the Service at any time. We will give reasonable advance notice of material changes that would adversely affect existing customers.
You may terminate your account at any time by contacting support. We may suspend or terminate your account if you materially breach these Terms. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the United States and the State of [STATE TBD by counsel], without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in [VENUE TBD by counsel].
